1. ACCEPTANCE OF TERMS
By accessing or using the AgentOS 24/7 platform (the "Platform"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not accept or use the Platform.
These Terms constitute a binding legal agreement between you and AI2me LLC, a Delaware limited liability company ("AI2me," "we," "us," or "our").
Eligibility:
- You must be at least 18 years of age to use the Platform.
- If you are using the Platform on behalf of an entity (club, brand, agency), you represent that you have authority to bind that entity to these Terms.
- Professional athletes under 18 must have parental or legal guardian consent and supervision.
2. PLATFORM DESCRIPTION
AgentOS 24/7 is an AI-powered advisory and market intelligence platform that connects:
Supply Side (Talent):
- Professional athletes and amateur athletes
- Celebrities, entertainers, and influencers
- Executives and professionals
Demand Side (Employers/Partners):
- Sports clubs and teams
- Brands and sponsors
- Service providers (tax advisors, wealth managers, etc.)
Services Provided:
Core AI Advisory Services:
- AI-powered market valuation and analysis
- Career advisory and contract benchmarking
- Data-driven insights and recommendations
- Talent matching and sourcing algorithms
- Market intelligence and trend analysis
Optional Professional Services (Separate Engagement):
- Licensed FIFA agent representation (when incorporated into service tier)
- Legal counsel (via partner law firms)
- Tax and financial advisory (via referral network)
IMPORTANT CLARIFICATION:
The AI agents on the Platform (Enzo, Tania Freeman, Bernie Brooks, Charlie Nens, Trina Pia, Peter Wilson, Lisa Penn, Marcus, Victoria) are artificial intelligence advisory tools, NOT human licensed sports agents or attorneys.
- AI Agents: Provide data analysis, market intelligence, and advisory recommendations
- Licensed Professionals: Available through optional upgraded services or referrals
3. USER ACCOUNTS
Registration:
- You must create an account to access certain Platform features.
- You agree to provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
Account Types:
- Athlete/Talent Accounts: Individual professionals seeking market intelligence and advisory services
- Club/Employer Accounts: Organizations seeking talent acquisition data and recruitment insights
- Brand/Sponsor Accounts: Companies seeking endorsement and sponsorship market data
- Service Provider Accounts: Third-party professionals offering services to talent
Account Termination:
- We reserve the right to suspend or terminate accounts that violate these Terms.
- You may terminate your account at any time by contacting support@agentos247.com.
- Upon termination, you remain liable for all obligations incurred prior to termination.
4. SUBSCRIPTION SERVICES & PRICING
The Platform operates on a subscription and commission-based model. Detailed pricing is available at https://agentos247.com/pricing and is incorporated into these Terms by reference.
Subscription Tiers:
For Athletes/Talent:
Tier 1 - Insight (€5,000/month):
- AI-powered market analysis and valuation reports
- Contract benchmarking database access
- Career trajectory modeling
- Data-only access (no deal execution or licensed agent services)
Tier 2 - Hybrid (€15,000/month + 2% commission on closed deals):
- All Tier 1 features
- AI-assisted deal advisory and strategy
- Access to licensed FIFA agent network (when needed for deal execution)
- Coordination with legal counsel (via partner law firms)
- Priority support and custom intelligence reports
For Clubs/Employers:
Tier 1 - Insight (€50,000/month):
- Player/talent database access
- AI-powered scouting and market intelligence reports
- Valuation analysis tools
- Data-only access (no recruitment execution services)
Tier 2 - Hybrid (€150,000/month + 2% commission on signings):
- All Tier 1 features
- AI-assisted recruitment strategy and analysis
- Access to licensed agent network for deal facilitation
- Deal structuring advisory
- Priority support and custom scouting reports
For Brands/Sponsors:
Tier 1 - Insight (€25,000/month):
- Talent database access
- Market intelligence and ROI analysis
- AI-powered talent matching algorithms
Tier 2 - Hybrid (€75,000/month + 2% commission on sponsorship deals):
- All Tier 1 features
- AI-assisted talent sourcing and matching
- Deal negotiation advisory
- Access to licensed professionals for contract execution
Commission Structure:
- Player Transfers/Moves: 2% of total deal value (split between athlete and club)
- Sponsorship Deals: 2% of total deal value (split between brand and talent)
- Service Provider Referrals: 5-10% of first-year fees
Payment Terms:
- Subscription fees are billed monthly in advance.
- Commission fees are billed upon deal completion.
- All fees are non-refundable except as expressly stated in these Terms.
- Failure to pay may result in account suspension or termination.
5. AI ADVISORY VS. LICENSED REPRESENTATION
AI Advisory Services (Included in All Tiers):
The Platform's AI agents provide:
- Data analysis and market intelligence
- Automated insights and recommendations
- Pattern recognition and trend forecasting
- Decision support tools
AI agents do NOT:
- Act as licensed FIFA agents or talent representatives
- Negotiate contracts on your behalf
- Sign agreements or bind you to deals
- Provide legal advice
Licensed Professional Services (Optional - Tier 2 Hybrid):
When you require deal execution or legal representation:
- AI2me can facilitate introductions to licensed FIFA agents (separate engagement)
- AI2me can coordinate with partner law firms (separate legal services agreement)
- You will enter into separate representation agreements with licensed professionals
- Licensed professionals operate independently and owe you direct fiduciary duties
Your Responsibility:
- Final decisions regarding contracts, transfers, and deals rest solely with you
- You should consult licensed professionals before executing binding agreements
- AI recommendations are for informational purposes only
6. AGENT CAPABILITIES & PLATFORM INFRASTRUCTURE
6.1 Dedicated Server Deployment
Enterprise and Premium Customers receive dedicated server infrastructure:
- AI agents are deployed on customer-owned or customer-dedicated server environments
- All customer data, API credentials, and agent memory remain on the customer's dedicated server
- AI2me does not access, store, or share customer API keys or proprietary data
- Customer retains full control and ownership of all data stored on their dedicated server
6.2 Permitted Third-Party Integrations
Subject to your subscription tier and with your explicit authorization, AI agents may connect to and operate with the following external services using your API credentials:
Productivity & Collaboration:
- Google Workspace (Gmail, Calendar, Drive, Docs, Sheets, Slides)
- Microsoft 365 (Outlook, OneDrive, Word, Excel, PowerPoint)
- Slack (messaging, notifications, channel management)
Scheduling & Calendar:
- Calendly (appointment scheduling)
- Cal.com (open-source scheduling)
- Google Calendar, Outlook Calendar
AI & Voice Services:
- OpenAI (GPT models for conversational intelligence)
- Anthropic (Claude models for analysis and reasoning)
- Google Gemini (multimodal AI capabilities)
- Vapi (voice AI for inbound and outbound calls)
- ElevenLabs (text-to-speech, voice cloning)
Communication & Messaging:
- Twilio (SMS, WhatsApp, voice calls)
- SendGrid (email delivery)
- Telegram (messaging API)
Data & Research:
- Web scraping and data extraction tools (for publicly available data)
- Market research APIs and databases
- Sports statistics providers
Administrative & Automation:
- Task automation within customer's server environment
- Document generation and processing
- CRM integrations (upon request)
Security and Credential Management:
- All third-party API credentials are supplied by you (the customer)
- Credentials are stored exclusively within your dedicated server using industry-standard encryption
- AI2me does not store, access, or share your API keys or credentials
- You may revoke or update credentials at any time via your Platform dashboard
Liability:
- You are responsible for compliance with third-party service terms (Google, Twilio, etc.)
- You are responsible for all costs incurred from third-party API usage (OpenAI, Vapi, etc.)
- AI2me is not liable for third-party service outages, rate limits, or policy changes
- You must ensure all integrations comply with applicable data protection laws (GDPR, CCPA)
6.3 Agent Boundaries & Security Policy
To protect Platform integrity and customer data, the following restrictions apply to all deployed AI agents:
Prohibited Agent Actions:
- ❌ Autonomous Agent Creation: AI agents may NOT create, register, or deploy additional AI agents autonomously without explicit customer request and AI2me approval.
- ❌ Cross-Customer Access: Agents have NO access to AI2me's internal systems, other customers' data, or provisioning infrastructure.
- ❌ Unauthorized Data Sharing: Agents may NOT share your data with third parties without your explicit consent.
- ❌ Self-Modification: Agents may NOT modify their core programming, security policies, or operational boundaries.
Access Control:
- AI agents respond only to authorized Telegram accounts specified by you during onboarding.
- No other users, even within your organization, may interact with your deployed agents unless explicitly authorized by you.
- You may add or remove authorized users via your Platform dashboard at any time.
Data Isolation:
- All agent operations occur exclusively within your dedicated server environment.
- Agent memory, conversation history, and working files are stored on your server only.
- AI2me cannot access your agent's data without your explicit permission (e.g., for support requests).
Audit and Monitoring:
- All agent actions are logged and available for your review in real-time.
- You may request a full activity report at any time via support@agentos247.com.
- AI2me maintains system-level logs for security and compliance purposes (excluding your confidential data).
6.4 New Agent Request Protocol
If you request an AI agent not included in your current subscription plan:
Step 1 — Request Submission:
- Submit your request via Platform dashboard or support@agentos247.com.
- Include: Agent type, intended use case, and any special requirements.
Step 2 — AI2me Review:
- AI2me will review your request and respond within 1 business hour (during business hours: 9 AM - 6 PM CET, Monday-Friday).
- Review criteria: Compatibility with your tier, technical feasibility, compliance with Platform policies.
Step 3 — Approval or Denial:
- If Approved: AI2me will configure and deploy the requested agent to your dedicated server within 24 hours.
- If Denied: AI2me will provide a written explanation and, if applicable, suggest alternative solutions or tier upgrades.
Auto-Approval Fallback:
- If AI2me does not respond within 1 business hour, your request is automatically approved.
- Auto-approved agents are deployed with default security settings.
- A full activity report is generated and retained for compliance and audit purposes.
- AI2me will follow up within 24 hours to confirm deployment and address any concerns.
Logging and Transparency:
- All agent requests, approvals, denials, and auto-approvals are logged.
- You may request a complete log of all agent request activity via support@agentos247.com.
Pricing:
- Additional agents may incur additional subscription fees depending on your tier.
- Pricing for custom agents will be communicated during the approval process.
- No charges are applied until you explicitly accept the pricing terms.
6.5 Optional Data Backup Service
Customers may opt in to automatic workspace backup:
Backup Service Features:
- A private Git repository is created to store:
- Agent configuration files
- Agent memory and conversation history (encrypted)
- Workspace documents and uploaded files
- Backups are performed automatically every 12 hours.
- Backup repository is private and accessible only by you (via SSH key or access token).
Opt-In Process:
- Backup service is disabled by default.
- To enable: Contact support@agentos247.com or enable via Platform dashboard.
- You must provide a Git hosting service (GitHub, GitLab, Bitbucket) or use AI2me's managed backup service (+€500/month).
Opt-Out and Data Deletion:
- You may opt out at any time via Platform dashboard or support request.
- Upon opt-out:
- Automatic backups cease immediately.
- Existing backup repository remains accessible to you for 30 days.
- After 30 days, backup repository is permanently deleted (unless you request retention).
Data Security:
- All backups are encrypted at rest (AES-256) and in transit (TLS 1.3).
- Backup repository access is protected by SSH keys or personal access tokens (managed by you).
- AI2me does not retain copies of backup encryption keys (you are responsible for key management).
Retention and Restoration:
- You may restore from backup at any time by contacting support@agentos247.com.
- Restoration typically completes within 2-4 hours.
- Historical backups are retained for 90 days (configurable upon request).
Limitations:
- Backup service does NOT include third-party data (e.g., emails fetched from Gmail).
- You are responsible for backing up third-party service data separately.
- AI2me is not liable for data loss caused by third-party service failures or user error.
7. DATA & MARKET INTELLIGENCE
Proprietary Data:
- The Platform provides access to proprietary market data, valuations, and AI-generated intelligence.
- All data is provided "as is" without warranty of accuracy or completeness.
- Data is for informational purposes only and does not constitute professional advice.
Data Restrictions:
- You may not scrape, copy, redistribute, or commercialize Platform data without written consent.
- Data access is limited to your subscription tier.
- Unauthorized data extraction may result in account termination and legal action.
Third-Party Data:
- The Platform may incorporate data from third-party sources.
- We are not responsible for the accuracy or reliability of third-party data.
8. USER CONDUCT & PROHIBITED ACTIVITIES
You agree NOT to:
Prohibited Content:
- Upload, post, or transmit any unlawful, harmful, or offensive content.
- Misrepresent your identity, credentials, or affiliations.
- Provide false or misleading information about talent, deals, or market conditions.
Prohibited Actions:
- Circumvent or attempt to bypass Platform security measures.
- Use automated tools (bots, scrapers) to access Platform data without authorization.
- Interfere with or disrupt Platform operations.
- Engage in fraudulent or deceptive practices.
- Violate any applicable laws or regulations.
- Attempt to access other customers' dedicated servers or data.
- Reverse-engineer, decompile, or disassemble Platform software or AI models.
Market Manipulation:
- Do not artificially inflate or deflate market valuations.
- Do not engage in bid rigging, price fixing, or collusion.
- Do not misuse confidential information obtained through the Platform.
Consequences:
- Violations may result in account suspension, termination, and legal action.
- We reserve the right to report illegal activity to law enforcement.
9. INTELLECTUAL PROPERTY
Platform Ownership:
- AI2me owns all rights, title, and interest in the Platform, including:
- Software, code, algorithms, and AI models
- Data, analytics, and intelligence products
- Trademarks, logos, and branding
- Content, documentation, and user interfaces
User Content:
- You retain ownership of content you upload (profiles, documents, media).
- By uploading content, you grant AI2me a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for Platform operations and marketing purposes.
- You represent that you have all necessary rights to upload and license such content.
Customer Data on Dedicated Servers:
- All data stored on your dedicated server remains your property.
- AI2me does not claim ownership of your data, API credentials, or proprietary information.
- You grant AI2me a limited license to process your data solely for the purpose of providing Platform services.
Feedback:
- Any feedback, suggestions, or ideas you provide to AI2me become our property.
- We may use such feedback without compensation or attribution.
10. PRIVACY & DATA PROTECTION
Privacy Policy:
- Our collection and use of personal data is governed by our Privacy Policy, available at https://agentos247.com/privacy.
- By using the Platform, you consent to our data practices as described in the Privacy Policy.
GDPR Compliance (EU Users):
- If you are located in the European Union, you have rights under the General Data Protection Regulation (GDPR), including:
- Right to access your personal data
- Right to rectify inaccurate data
- Right to erasure ("right to be forgotten")
- Right to data portability
- Right to object to processing
Data Security:
- We implement industry-standard security measures to protect user data.
- However, no system is 100% secure, and we cannot guarantee absolute security.
- You are responsible for safeguarding your account credentials.
Confidentiality:
- Certain Platform features involve confidential information (deal terms, valuations, strategies).
- You agree to maintain confidentiality and not disclose such information without authorization.
11. DISCLAIMERS & LIMITATIONS OF LIABILITY
NO WARRANTIES:
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Platform will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of AI-generated insights or data
NOT PROFESSIONAL ADVICE:
- Platform AI advisory services are for informational purposes only.
- They do not constitute legal, financial, tax, or licensed agent representation.
- You should consult qualified licensed professionals (FIFA agents, attorneys) before making binding decisions.
AI LIMITATIONS:
- AI models may produce errors, biases, or incomplete analyses.
- AI recommendations should be verified by human professionals.
- We do not guarantee AI accuracy or suitability for your specific situation.
THIRD-PARTY INTEGRATIONS:
- We are not responsible for failures, errors, or policy changes by third-party services (Google, Twilio, OpenAI, etc.).
- You are responsible for compliance with third-party service terms and all associated costs.
LIMITATION OF LIABILITY:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI2ME SHALL NOT BE LIABLE FOR:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from Platform downtime, errors, or security breaches
- Damages resulting from reliance on AI recommendations or Platform data
- Damages caused by third-party actions or content
- Damages from deals facilitated through the Platform
- Data loss from backup failures or third-party service outages
MAXIMUM LIABILITY CAP:
In no event shall AI2me's total liability to you exceed the lesser of:
- The fees you paid to AI2me in the 12 months preceding the claim, OR
- $10,000 USD
Exceptions:
These limitations do not apply to:
- Gross negligence or willful misconduct by AI2me
- Liability that cannot be excluded by law (e.g., personal injury)
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless AI2me, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights (including intellectual property or privacy rights)
- Your provision of false, misleading, or fraudulent information
- Any deals, transactions, or relationships facilitated through the Platform
- Your reliance on AI-generated recommendations without consulting licensed professionals
- Your use of third-party integrations and API services
- Unauthorized access to your dedicated server or account caused by your failure to secure credentials
13. THIRD-PARTY SERVICES & RELATIONSHIPS
Third-Party Integrations:
- The Platform may integrate with third-party services (payment processors, communication tools, data providers).
- We are not responsible for the performance or policies of third-party services.
- Your use of third-party services is subject to their terms and conditions.
Licensed Professionals (FIFA Agents, Attorneys):
- AI2me may facilitate introductions to licensed professionals.
- Licensed professionals operate independently and are NOT employees or agents of AI2me.
- Your engagement with licensed professionals is governed by separate agreements.
- AI2me is not responsible for the performance or conduct of licensed professionals.
Deals & Transactions:
- The Platform facilitates connections between users but is not a party to deals or transactions.
- Users are solely responsible for the terms, performance, and legality of their agreements.
- AI2me does not guarantee the performance, accuracy, or legality of any deal.
Disputes:
- Disputes between users (e.g., player and club, brand and talent) must be resolved directly between the parties.
- AI2me may provide mediation support but is not obligated to intervene.
14. TERM & TERMINATION
Term:
- These Terms remain in effect as long as you use the Platform.
Termination by You:
- You may terminate your account at any time via support@agentos247.com.
- Subscription fees are non-refundable unless otherwise agreed.
Termination by AI2me:
- We may suspend or terminate your account immediately if:
- You violate these Terms
- Your account is inactive for 12+ months
- Required by law or regulatory authority
- We discontinue the Platform (with 30 days' notice)
Effect of Termination:
- Upon termination, your access to the Platform will cease.
- Your dedicated server (if applicable) will be decommissioned within 30 days.
- Data stored on your dedicated server will be deleted after 30 days (unless you request backup export).
- You remain liable for all obligations incurred prior to termination.
- Sections 9 (IP), 11 (Disclaimers), 12 (Indemnification), and 15 (Dispute Resolution) survive termination.
15. MODIFICATIONS TO TERMS
Right to Modify:
- We reserve the right to modify these Terms at any time.
- We will notify you of material changes via email or Platform notice.
- Continued use of the Platform after changes constitutes acceptance.
Objection:
- If you do not agree to modified Terms, you must terminate your account.
16. DISPUTE RESOLUTION
Governing Law:
- These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Arbitration Agreement:
Mandatory Arbitration:
- Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration, except:
- Small claims court actions (under $10,000)
- Injunctive relief for intellectual property violations
Arbitration Rules:
- Arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA).
- Arbitration shall take place in Wilmington, Delaware, USA.
- Each party shall bear its own costs and split arbitrator fees equally.
Class Action Waiver:
- You agree to arbitrate disputes on an individual basis only.
- You waive the right to participate in class actions, collective actions, or representative proceedings.
Exceptions:
- Either party may seek injunctive relief in court to protect intellectual property rights.
EU Users:
- If you are an EU consumer, you may have additional rights under EU law that cannot be waived by arbitration.
17. GENERAL PROVISIONS
Entire Agreement:
- These Terms, together with the Privacy Policy and any executed Service Agreements, constitute the entire agreement between you and AI2me.
Severability:
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
Waiver:
- Failure to enforce any provision does not constitute a waiver of that provision.
Assignment:
- You may not assign or transfer your rights under these Terms without our written consent.
- AI2me may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure:
- AI2me is not liable for delays or failures caused by events beyond our reasonable control (natural disasters, wars, pandemics, government actions, etc.).
Language:
- These Terms are drafted in English. Translations are for convenience only; the English version controls in case of conflict.

YOU FURTHER ACKNOWLEDGE THAT:
- The Platform provides AI advisory services, NOT licensed FIFA agent representation
- AI recommendations are informational only and should be verified by licensed professionals
- Licensed FIFA agents and attorneys are available through optional separate engagements
- You are responsible for consulting qualified professionals before executing binding agreements
- You are responsible for securing your dedicated server, API credentials, and account access
- AI agents operate only within your dedicated server environment and cannot access other customers' data
- All third-party integration costs and compliance obligations are your responsibility
